PLEASE READ THESE TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING THE cancereducation WEBSITE ("Site"). BY SUBMITTING A cancereducation MEMBERSHIP APPLICATION FORM OR BY USING THIS SITE, YOU ACKNOWLEDGE YOUR AGREEMENT AND ACCEPTANCE OF THESE TERMS AND CONDITIONS OF USE. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT USE THIS SITE.

cancereducation reserves the right, at its sole discretion, to change these Terms and Conditions from time to time and your access of the Site will be deemed to be your acceptance of and agreement to any changed Terms and Conditions. Although we may attempt to notify you when major changes are made to these Terms and Conditions, you should periodically review the most up-to-date version since your continued use of the Site will mean you accept those changes.
These Terms and Conditions apply to all users of the Site, including users who are also contributors of video content, information, and other materials or services on the Site. The Site includes all aspects of cancereducation, including but not limited to all products, software and services offered via the website such as the Personalized Interactive Programming (PIP), MedClipsTM, cancereducation faces, and other applications.

The following provisions govern the use of the Site by cancereducation members ("Members").

Section 1. Medical Advice Disclaimer.

The content on the SITE, including, but not limited to, text, graphics, images, other material and information, and any software licensed by cancereducation to permit members to access the SITE ("Content"), IS PRESENTED IN SUMMARY FORM, IS GENERAL IN NATURE, AND IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY. THE CONTENT IS NOT INTENDED IN ANY WAY TO BE A SUBSTITUTE FOR A MEDICAL EXAM OR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS OR TREATMENT. The information contained on the Site has been devised without reference to cultural, dietary, societal, language, prescribing or dispensing conditions (including those imposed by law), other than those of the United States, which might affect the Content.

Our staff may include physicians and other medical practitioners including, without limitation, pharmacists, nutritionists, nurses, nurse practitioners, and other health care professionals. These professionals are available solely as consultants to the Site. They will not engage in any conduct that involves the practice of medicine, monitoring your care, or establishing any type of confidential patient relationship with you. The cancereducation Site is a secure site. However, cancereducation makes no guarantees that it will be able to prevent unauthorized persons from accessing or tampering with our files.

cancereducation does not recommend or endorse any specific tests, products, or procedures mentioned, and is not responsible for the contents of any material provided on the Site, as well as material posted in interactive areas, including, but not limited to, bulletin boards and chat rooms ("Interactive Areas"). Any opinions expressed anywhere on the Site are the opinions of the authors. RELIANCE ON ANY CONTENT CONTAINED ON THE SITE IS SOLELY AT YOUR OWN RISK. cancereducation assumes no liability or responsibility for damage or injury to persons or property arising from any use of any product, information, idea, or instruction contained in the materials accessed by you. cancereducation reserves the right to change or discontinue at any time any aspect or feature of this Site.

Section 3. Service Use and Restrictions

You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms and Conditions, and to abide by and comply with these Terms of Service.

You understand that the Internet contains unedited materials, some of which may be sexually explicit and offensive to you. You access this material at your own risk. cancereducation, its licensors, suppliers, collaborators, partners and any other third-party with whom cancereducation has an arrangement to provide content, services or commerce to the Site (collectively referred to as "Licensors and Suppliers") have no control over and accept no responsibility whatsoever for such materials.

You are responsible for compliance with the laws of your local jurisdiction regarding accessing, importing, exporting, or re-exporting the contents (including Software) of the Site whether inside or outside the United States.

Please inform cancereducation promptly if there is a change in the information you provided to cancereducation at the time of registration, including change of address or name. If/when you initially register for the Site, you will be asked to select a User ID and Password. cancereducation reserves the right to reject or change any User ID you select for any reason in its sole discretion.

Section 4. User Accounts
In order to access some features of the Site, you will have to create a cancereducation user account. You may never use another person's account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. Please notify cancereducation immediately of any breach of security or unauthorized use of your user account.
Although cancereducation will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of cancereducation or others due to such unauthorized use.
cancereducation will terminate a User's access to its Site if, under appropriate circumstances, they are determined to be a repeat infringer.
cancereducation reserves the right to decide whether Content or a User Submission is appropriate and complies with these Terms and Conditions for violations other than copyright infringement, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. Such User Submissions may be removed and/or a User's access may be terminated for uploading such material in violation of these Terms and Conditions at any time, without prior notice and at its sole discretion.

Section 5. General Use of the Site -- Permissions and Restrictions
cancereducation hereby grants you permission to access and use the Site as set forth in these Terms and Conditions, provided that:
A. You agree not to distribute in any medium any part of the Site, including but not limited to User Submissions (defined below), without prior written authorization.
B. You agree not to alter or modify any part of the Site, including any of its other related technologies.
C. You agree not to access User Submissions (defined below) or cancereducation content through any technology or means other than the video playback pages of the Site itself or other explicitly authorized means cancereducation may designate.
D. You agree not to use the Site, for any commercial use, without the prior written authorization. Prohibited commercial uses include any of the following actions taken without express approval:
  • sale of access to the Site or its related services on another website;
  • use of the Site or its related services for the primary purpose of gaining advertising or subscription revenue;
  • the sale of advertising, on the Site or any third-party website, targeted to the content of specific User Submissions or cancereducation content;
  • and any use of the Site or its related services that cancereducation finds, in its sole discretion, to use cancereducation's resources or User Submissions with the effect of competing with or displacing the market for cancereducation, cancereducation content, or its User Submissions.
E. Prohibited commercial uses do not include:
  • uploading an original video to cancereducation, or maintaining an original channel on cancereducation, to promote your business or artistic enterprise;
  • any use that cancereducation expressly authorizes in writing.
F. You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers," that accesses the Site in a manner that sends more request messages to the cancereducation servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, cancereducation grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. cancereducation reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information, including account names, from the Site, nor to use the communication systems provided by the Site for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any users of the Site with respect to their User Submissions.
G. In your use of the Site, you will otherwise comply with these Terms and Conditions and all applicable local, national, and international laws and regulations.
J. cancereducation reserves the right to discontinue any aspect of the Site at any time.

Section 6. Your Use of Content on the Site
In addition to the general restrictions above, the following restrictions and conditions apply specifically to your use of content on the Site.
A. The content on the Site, except all User Submissions (as defined below), including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like ("Content") and the trademarks, service marks and logos contained therein, are owned by or licensed to cancereducation, subject to copyright and other intellectual property rights under the law. Content on the Site is provided to you AS IS for your information and personal use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. cancereducation reserves all rights not expressly granted in and to the Site and the Content.
B. You may access User Submissions solely:
  • for your information and personal use; and
  • as intended through the normal functionality of the Site.
C. You may access cancereducation Content, User Submissions and other content only as permitted under this Agreement. cancereducation reserves all rights not expressly granted in and to the cancereducation Content.
D. You agree to not engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, or distribution of User Submissions of third parties obtained through the Site for any commercial purposes.
E. You agree not to circumvent, disable or otherwise interfere with security-related features of the Site or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Site or the Content therein.
G. You understand that when using the Site, you may be exposed to User Submissions from a variety of sources, and that cancereducation is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against cancereducation with respect thereto, and agree to indemnify and hold cancereducation, its Owners/Operators, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the site.

Section 7. Your User Submissions and Conduct
A. As a cancereducation account holder you may submit video content ("User Submissions"). You understand that whether or not such User Submissions are published, cancereducation does not guarantee any confidentiality with respect to any User Submissions.
B. You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: you own or have the necessary licenses, rights, consents, and permissions to use and authorize cancereducation to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Site and these Terms and Conditions.
C. For clarity, you retain all of your ownership rights in your User Submissions. However, by submitting User Submissions to cancereducation, you hereby grant cancereducation a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Site and cancereducation's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Site (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the Site a non-exclusive license to access your User Submissions through the Site, and to use, reproduce, distribute, display and perform such User Submissions as permitted through the functionality of the Site and under these Terms and Conditions. The above licenses granted by you in User Submissions terminate within a commercially reasonable time after you submit a written request to remove or delete your User Submission from the Site. You understand and agree, however, that cancereducation may retain, but not display, distribute, or perform, server copies of User Submissions that have been removed or deleted.
D. In connection with User Submissions, you further agree that you will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant cancereducation all of the license rights granted herein.
E. cancereducation does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and cancereducation expressly disclaims any and all liability in connection with User Submissions. cancereducation does not permit copyright infringing activities and infringement of intellectual property rights on its Site, and will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another's intellectual property rights. cancereducation reserves the right to remove Content and User Submissions without prior notice.

Section 8. Digital Millennium Copyright Act
A. If you are a copyright owner or an agent thereof and believe that any User Submission or other content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;
  • Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail;
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
DMCA notices, feedback, comments, requests for technical support, and other communications should be directed to cancereducation customer service at 415 Eagleview Boulevard, Suite 110, Exton, PA 19341. You acknowledge that if you fail to comply with all of the requirements of this Section 5(D), your DMCA notice may not be valid.
B. Counter-Notice. If you believe that your User Submission that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner's agent, or pursuant to the law, to post and use the content in your User Submission, you may send a counter-notice containing the following information to the Copyright Agent:
  • Your physical or electronic signature;
  • Identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled;
  • A statement that you have a good faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content; and
  • Your name, address, telephone number, and e-mail address, a statement that you consent to the jurisdiction of the federal court in Philadelphia, Pennsylvania, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.
If a counter-notice is received by the Copyright Agent, cancereducation may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the content provider, member or user, the removed content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at cancereducation's sole discretion.

Section 9. Disclaimer of Liability and Consequential Damages.

The Site's Content comes from sources believed to be accurate, but may contain inaccuracies or typographical errors. cancereducation makes no representations or warranties concerning: the results to be obtained from using this Site and the Content; errors, omissions, delays or other defects in the Site or Content; or that the Site or Content, including any files, are free of bugs, viruses, worms, Trojan Horses or other code that include or manifest contaminating or destructive characteristics. The use of the Site and the Content is at your own risk.

A) THE DELAY, FAILURE, INTERRUPTION OR CORRUPTION OF ANY DATA OR OTHER INFORMATION TRANSMITTED TO OR USED IN CONNECTION WITH THE USE OF THE SITE,
B) USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.
C) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR WEBSITE
D) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN
E) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR WEBSITE.
THE SITE AND THE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS FOR USE WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. cancereducation, ITS LICENSORS AND SUPPLIERS, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIM ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES' RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE. cancereducation, ITS LICENSORS AND SUPPLIERS MAKE NO REPRESENTATIONS OR WARRANTIES, AS TO THE ACCURACY, RELIABILITY, COMPLETENESS, CURRENTNESS OR TIMELINESS OF THE CONTENT, INCLUDING BUT NOT LIMITED TO, SOFTWARE, TEXT, GRAPHICS, DATABASES, LINKS, COMMUNICATIONS OR OTHER MATERIAL OR INFORMATION PROVIDED ON OR THROUGH THE USE OF THE SITE.

B) THAT THE CONTENT CONTAINED ON THE SITE SATISFIES GOVERNMENT REGULATIONS REQUIRING DISCLOSURE OF INFORMATION ON PRESCRIPTION DRUG PRODUCTS.
THE SITE MAY BE TEMPORARILY UNAVAILABLE FROM TIME TO TIME FOR MAINTENANCE OR OTHER REASONS. CANCEREDUCTION ASSUMES NO RESPONSIBILITY FOR ANY ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMMUNICATIONS LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, OR ALTERATION OF, USER SUBMISSIONS DUE TO MAINTENANCE OF THE SITE. cancereducation IS NOT RESPONSIBLE FOR ANY TECHNICAL MALFUNCTION OR OTHER PROBLEMS OF ANY EQUIPMENT, SOFTWARE, FAILURE OF EMAIL, OR PLAYERS ON ACCOUNT OF TECHNICAL PROBLEMS OR TRAFFIC CONGESTION ON THE SITE, INCLUDING INJURY OR DAMAGE TO USER'S OR TO ANY OTHER PERSON'S COMPUTER HARDWARE OR SOFTWARE, RELATED TO OR RESULTING FROM INTERACTIONS WITH THE SITE DURING TIMES OF MAINTENANCE.

IN NO EVENT SHALL cancereducation, ITS LICENSORS AND SUPPLIERS OR ANY THIRD PARTIES MENTIONED ON THE SITE BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE THE SITE OR THE CONTENT WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT cancereducation (OR SUCH LICENSOR OR SUPPLIER) IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING THE SITE. REMEDIES, IF ANY, UNDER THIS AGREEMENT ARE EXCLUSIVE AND ARE LIMITED TO THOSE EXPRESSLY PROVIDED FOR IN THIS AGREEMENT.

Section 10. Links to Other Sites.

The Site contains advertisements and links to third-party websites. Unless otherwise specifically stated, these are provided solely as a convenience to you and not as an endorsement or representation of any kind by cancereducation of their content or quality. Further, you acknowledge that cancereducation is not responsible for the contents of, or goods and services purchased on, any third-party website you access through the Site. IF YOU DECIDE TO ACCESS THIRD-PARTY WEBSITES, YOU DO SO AT YOUR OWN RISK. Your use of third-party websites is subject to the Terms and Conditions of use for such sites. cancereducation disclaims all liability with regard to your access of such linked web sites.

Section 11. Indemnity.

You agree to defend, indemnify and hold cancereducation, the Site, its parent limited partnership, its officers, directors, employees, agents, Licensors and Suppliers, editors, and contributors to the Site, harmless from and against any claims, damages, obligations, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from: (i) your use of and access to the Site; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that any submission in an Interactive Area or communication, caused damage to a third party.
cancereducation shall provide notice to you promptly of any such claim, suit, or proceeding and shall reasonably cooperate with you, at your expense, in your defense of any such claim, suit or proceeding.

Section 12. Jurisdiction; Miscellaneous.

You expressly agree that sole and exclusive jurisdiction shall be in the appropriate state or federal court located in the State of Pennsylvania in connection with any such dispute including any claim involving the Site, cancereducation or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers and content providers and consent to service of process by overnight courier or express mail at your last known address. These Terms and Conditions are governed by the internal substantive laws of the State of Pennsylvania, without respect to its conflict of law principles. If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. No waiver of any of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition. To the fullest extent permitted by applicable law, each party to this Agreement waives its or his right to a jury trial with respect to any action brought under or in connection with this Agreement. Before seeking legal recourse for any harm you believe you have suffered from your access to the Site, you will give cancereducation written notice specifying the harm and 30 days to cure the harm after providing such notice. Any cause of action initiated by you must be initiated within one (1) year after the claim or cause of action has arisen or it will be barred. This agreement may be terminated by cancereducation without notice at any time for any reason and may be terminated by you upon notice to cancereducation at any time for any reason.

cancereducation may deliver notice to you under this Agreement by means of electronic mail, a general notice on the Site, or by written communication delivered by first class U.S. mail to your address, if any, on record in cancereducation's account information. You may give notice to cancereducation at any time via electronic mail to cancereducation or by letter delivered by first class postage prepaid U.S. mail or overnight courier to the following address:

Section 13. Third Party Beneficiaries

You further agree that these Terms and Conditions, including all agreements and disclaimers set forth herein, shall inure to the benefit of cancereducation's Licensors and Suppliers, the editors and their agents, and the contributors to the Site, as third party beneficiaries hereto, to the same extent that this agreement inures to the benefit of cancereducation.

EXCEPT AS EXPRESSLY PROVIDED IN A PARTICULAR "LEGAL NOTICE" ON THE SITE, THESE TERMS AND CONDITIONS AND ANY AMENDMENTS HEREOF CONSTITUTE THE ENTIRE AGREEMENT BETWEEN YOU AND cancereducation WITH RESPECT TO THE USE OF THE SITE, INCLUDING, BUT NOT LIMITED TO, ANY SOFTWARE AND CONTENT CONTAINED THEREON.
